End User License Agreement (EULA) for the Mondofi Mobile App (including access-control integrations)

This End User License Agreement (“Agreement” or “EULA”) governs your use of the software and services provided by Mondofi Media Ltd. in Canada or Mondofi Technology Inc. in the United States of America (“Mondofi”, “Company”, “we”, “us”, or “our”) via the Mondofi mobile application (iOS and Android) and associated services for residential access control and building management (the “Service”). By using the Mondofi app, you (“User”, “you”, “your”) agree to be bound by the terms of this Agreement.
1. Scope of License and Functionality
Mondofi grants you a limited, non-exclusive, non-transferable license to use the Service for controlling access to multifamily residential buildings, including granting access via doors, garages, elevators, and other entry points. The Service may also provide features such as amenity bookings, visitor parking passes, chat and messaging, and a building information portal.
User Access:

Mobile App Access: Residents access the Service through the mobile app for iOS or Android.

Admin Access: Building administrators can manage the Service through a web interface.
This license does not include any hardware requirements.
2. Account Structure
Primary Resident Accounts:

The Primary Resident Account is responsible for billing (if applicable) and all actions taken by any Additional Resident Account holders under their account.

To create a Primary Resident Account, users must sign up via the applicable Mondofi signup page designated for their building or community or have this process undertaken by an approved building administrator. Account creation may be subject to approval by building ownership, management, a strata council, or a homeowner’s association.
Additional Resident Accounts:

Primary Residents may add up to two Additional Resident Accounts during sign-up, where enabled for the applicable building or community. Additional Resident Account holders cannot add or remove users.

To add or remove Additional Resident Accounts after initial setup, the Primary Resident must contact Mondofi at accounts@mondofi.com with their registered details.
3. Liability & Misuse
Users must use the Mondofi app in accordance with all applicable laws and building or community policies. The following actions constitute misuse and may result in account suspension or termination:

Granting access to unauthorized persons

Sharing login credentials with unauthorized individuals

Interfering with the security of the system

Misusing messaging features or causing damage through inappropriate access granting
Third-Party Liability:
If any person granted access by the Primary Resident or an Additional Resident causes harm or damage, the Primary Resident Account holder will be solely responsible for any consequences. Mondofi is indemnified from any liability arising from such access or actions.
4. Termination of Service
Mondofi reserves the right to suspend or terminate access under the following conditions:

At the direction of building ownership, management, a strata council, or a homeowner’s association

For any misuse, violation of this Agreement, or security concerns
Voluntary Termination:
Primary Residents may voluntarily terminate their access with 10 days’ notice. Termination and billing cessation (if applicable) will occur on the last day of the month that coincides with the 11th calendar day after notice is given. Requests must be sent to accounts@mondofi.com with the registered contact details.
For clarity:

If notice is provided prior to October 21 of a particular year, termination and billing cessation would occur on October 31 of that year.

If notice is provided on or after October 21 of a particular year, termination and billing cessation would occur on November 30 of that year.
5. Support and Updates
Support:

Support for building ownership, management, strata councils, or homeowner’s associations is available via email.

End User support is limited to FAQs and the knowledge base available at https://site.mondofi.com.
Updates:
Mondofi may provide software updates from time to time. Any changes affecting this EULA, including updates to terms, will be posted at the applicable Mondofi EULA page here: https://site.mondofi.com/eula/mondofi-keyscan-eula/. Users are responsible for staying informed of these changes.
6. Third-Party Integrations
The Service may integrate with third-party services, including but not limited to communications providers and cloud infrastructure services (for example, Twilio Inc. and Amazon Web Services Inc.). Mondofi is not liable for disruptions, failures, or misuse caused by third-party services. Users acknowledge that such services are beyond Mondofi’s control.
7. Data Privacy & Security
Mondofi collects personal information, including First Name, Last Name, Email Address, Phone Number, and access logs of each user, for operational purposes.
Mondofi complies with applicable data protection laws, including:

Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA)

British Columbia’s Personal Information Protection Act (PIPA)

The California Consumer Privacy Act (CCPA) (for U.S. users, where applicable)
Users’ data will not be shared with third parties for remarketing purposes. Users’ data will not be shared with third parties except as required by law or as necessary to operate Mondofi services.
8. Jurisdiction & Governing Law
This Agreement is governed by the laws of British Columbia, Canada. Any disputes arising from this Agreement shall be resolved by binding arbitration in Vancouver, British Columbia. The arbitration process shall limit Mondofi’s liability to the maximum extent permitted by law.
9. Limitation of Liability
Mondofi disclaims all liability for:

Software bugs, service interruptions, or hacking incidents

Indirect, consequential, or punitive damages
-
Any failure to perform services due to circumstances beyond its control, including third-party service failures
10. Indemnification
Primary Resident Account holders agree to indemnify, defend, and hold harmless Mondofi from any claims arising from misuse of the Service by Additional Resident Account holders or third parties granted access through the app.
11. Additional Legal Considerations
Force Majeure:
Mondofi is not liable for delays or failures in performance resulting from acts beyond its control, such as natural disasters, strikes, outages, or technical failures beyond its control.
No Warranties:
Mondofi does not guarantee uninterrupted, error-free operation of the Service. The Service is provided “as-is” without any warranties, express or implied.
Acknowledgment
By using the Mondofi app, you acknowledge that you have read and understood this Agreement and agree to its terms. If you do not agree with any provision of this EULA, you must discontinue use of the Mondofi app immediately.
