Please read these Terms & Conditions (“Terms”) carefully before using the Service operated by Mondofi Media Ltd. in Canada or Mondofi Technology Inc. in the United States of America (“Mondofi”, “Company”, “we”, “us”, or “our”).

By accessing, creating an account on, or using the Service, you agree to be bound by these Terms and our Privacy Policy (https://site.mondofi.com/privacy-policy/). If you do not agree to these Terms, you must not access or use the Service.

Interpretation and Definitions

Interpretation

Words with capitalized initial letters have meanings defined below. These definitions apply whether the terms appear in singular or plural.

Definitions

For the purposes of these Terms & Conditions:

  • Affiliate means an entity that controls, is controlled by, or is under common control with a party.
  • Company refers to Mondofi Media Ltd., Vancouver, British Columbia, Canada.
  • Country refers to Canada or The United States.
  • Device means any device capable of accessing the Service, including computers, mobile phones, or tablets.
  • Primary Account Holder means the individual or entity that creates and controls an account.
  • Authorized User means any individual granted access by a Primary Account Holder.
  • Service refers to Mondofi’s software, mobile applications (iOS and Android), websites, platforms, and related services.
  • Terms mean these Terms & Conditions.
  • Third-Party Service means any service, infrastructure, or content provided by a third party.
  • Website refers to https://www.mondofi.com and associated domains or subdomains.
  • You / User means the individual or legal entity accessing or using the Service.

Acknowledgment

These Terms govern your use of the Service and constitute a legally binding agreement between you and the Company.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, account holders, and others who access or use the Service.

You represent that you are at least 18 years of age. The Company does not permit individuals under 18 to use the Service.

Your access to and use of the Service is also conditioned on your acceptance of the Company’s Privacy Policy.

Scope of License and Service

Mondofi grants you a limited, non-exclusive, non-transferable license to use the Service for lawful purposes related to residential or commercial access management and building or community operations.

The Service may include, without limitation:

  • Digital access control and credential management
  • Granting and revoking access to entry points
  • Visitor and guest access management
  • Amenity booking and scheduling
  • Messaging and communications
  • Administrative dashboards and reporting tools
  • Building or community information portals

The Service is software-based only. Mondofi does not provide physical security services, monitoring, emergency response, or hardware other than the Company’s touchscreen entry phones.

Account Structure and Responsibility

Primary Account Holder

The Primary Account Holder is solely responsible for:

  • All activity conducted under the account
  • Billing and payment obligations, where applicable
  • All actions taken by Authorized Users
  • All access permissions granted through the Service

Account creation may be subject to approval by property ownership or management.

Authorized Users

You may grant access to other individuals where permitted. You acknowledge and agree that:

  • Authorized Users act under your authority
  • You assume full responsibility for their actions
  • Any misuse, damage, injury, or harm caused by Authorized Users or guests is your responsibility

Mondofi bears no liability for actions taken by Authorized Users or third parties granted access through the Service.

User Conduct and Misuse

Users must use the Service in accordance with applicable laws, building policies, and these Terms.

You agree not to:

  • Grant access to unauthorized individuals
  • Share login credentials improperly
  • Interfere with system security
  • Use the Service for unlawful purposes
  • Harass, abuse, threaten, defame, or discriminate against others
  • Upload malicious code or viruses
  • Collect personal information without consent
  • Engage in phishing, scraping, spamming, or fraudulent activity
  • Use the Service for obscene or immoral purposes

Violation of these terms may result in immediate suspension or termination.

Access Control & Assumption of Risk

All access decisions made through the Service are initiated by users.

You acknowledge that:

  • Mondofi does not supervise or validate access grants
  • You assume all risk associated with granting access
  • Mondofi is not responsible for unauthorized entry, theft, injury, or property damage

Third-Party Services and Infrastructure

The Service may rely on or integrate with Third-Party Services, including communications providers, cloud infrastructure, and messaging platforms.

Mondofi does not control and is not responsible for:

  • Availability or performance of third-party services
  • Interruptions, outages, or failures
  • Data loss or misuse caused by third parties

Use of Third-Party Services is at your own risk.

Digital Signature Consent

Where the Service enables electronic signatures, you agree that:

  • Electronic signatures carry the same legal effect as handwritten signatures
  • You consent to being legally bound by electronically signed documents

Mondofi provides digital signature functionality as a convenience only and does not guarantee enforceability of agreements between users or third parties.

Consent to Receive Electronic Communications

By using the Service, you consent to receive electronic communications, including emails and SMS messages, related to:

  • Account activity
  • System notifications
  • Administrative messages
  • Service updates

You may opt out of promotional communications, but service-related messages may still be sent.

Data Privacy

Mondofi collects personal information including names, contact details, and access logs solely for operational, security, and compliance purposes.

Mondofi complies with applicable data protection laws, including PIPEDA, PIPA, and CCPA (where applicable).

User data is not sold or shared for remarketing purposes.

Links to Other Websites

The Service may contain links to third-party websites.

Mondofi has no control over and assumes no responsibility for third-party content, privacy policies, or practices.

Termination

Mondofi may suspend or terminate access immediately, without prior notice or liability:

  • For violation of these Terms
  • For misuse or security concerns
  • At the direction of property ownership, management, strata councils, or homeowner associations

Upon termination, your right to use the Service ceases immediately.

Limitation of Liability

To the maximum extent permitted by law:

  • Mondofi is not liable for indirect, incidental, special, consequential, or punitive damages
  • Total liability shall not exceed the amount paid by you in the previous 12 months or USD $100, whichever is greater

“AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind.

Mondofi disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Indemnification

You agree to indemnify, defend, and hold harmless Mondofi Media Ltd. from any claims arising from:

  • Your use of the Service
  • Access granted by you or Authorized Users
  • Violation of these Terms or applicable laws

Force Majeure

Mondofi is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, outages, strikes, or governmental actions.

Intellectual Property

All content and materials available on the Website, including but not limited to text, graphics, website name, code, images, and logos are the intellectual property of Mondofi Media Ltd. and are protected by applicable copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely for personal, non-commercial use.

You may not:

  • Reproduce, distribute, display, sell, lease, transmit, create derivative works from, translate, modify, or otherwise exploit the Service or any portion thereof unless expressly permitted by Mondofi Media Ltd.
  • Use any meta tags or other “hidden text” utilizing Mondofi’s name or trademarks without the express written consent of Mondofi Media Ltd.
  • Use the Service in any manner that infringes upon the intellectual property rights of the Company or others.

Any unauthorized use of the Service terminates the permission or license granted by the Company.

Governing Law and Dispute Resolution

These Terms are governed by the laws of British Columbia, Canada, excluding conflict-of-law rules.

All disputes shall be resolved by binding arbitration in Vancouver, British Columbia, under the rules of the British Columbia International Commercial Arbitration Centre.

Changes to These Terms

Mondofi may modify these Terms at its discretion. Material changes will be posted with reasonable notice.

Continued use of the Service constitutes acceptance of revised Terms.
